These Terms of Service (“Terms”) govern your access to and use of the Ralio platform (“Service”), provided by RALIO LTD, a company registered in England and Wales under company number 16546335 (“Ralio”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.
1. Use of the Service
You may use the Service only in compliance with these Terms and all applicable laws. The Service is AI payment middleware that lets authorised agents prepare and execute payments within the mandates, limits and approvals you set.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Accounts and Access
To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to keep your account information up to date.
We reserve the right to suspend or terminate accounts that violate these Terms or misuse the Service.
3. Content and Data
You retain ownership of any content, documents, or data you upload to the Service. By using the Service, you grant us permission to process this content solely for the purpose of providing and improving the Service.
We do not claim ownership over your content.
We process personal data as described in our Privacy Policy. Where Ralio processes personal data contained in your payment instructions, it acts as your processor under a data processing agreement.
4. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential, including customer data, payment instructions, credentials, security information and non-public details of the Service (“Confidential Information”). The receiving party will use the other party’s Confidential Information only to provide or use the Service, will protect it with at least reasonable care, and will disclose it only to its employees, contractors and professional advisers who need it for that purpose and are bound by equivalent obligations, or where required by law or a regulator. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or is independently developed. They survive termination of these Terms. Where the parties have signed a separate non-disclosure agreement, that agreement prevails.
5. Security
Ralio maintains technical and organisational measures appropriate to the risk to protect the Service and your data, including encryption in transit and at rest, access restricted on a least-privilege basis with multi-factor authentication, logging and monitoring, and an incident management process. Ralio will notify you without undue delay if it becomes aware of a security incident affecting your data. You are responsible for keeping your account credentials secure and for the configuration of mandates, limits and approvals in your account.
6. Acceptable Use
You agree not to use the Service for unlawful, harmful, or abusive activities, including but not limited to violating intellectual property rights or attempting to disrupt the Service. In particular, you agree not to use Ralio to:
- Introduce malicious code, viruses, or harmful software.
- Attempt to bypass rate limits or disrupt the Service's stability.
- Submit content or data that violates the intellectual property or privacy rights of any third party.
7. AI-Generated Outputs
The Service may generate summaries, insights, or other outputs using artificial intelligence. These outputs are provided for informational purposes only and should not be relied upon as professional, legal, or financial advice.
You are responsible for reviewing and validating any outputs before using them in decision-making.
8. Availability and Changes
While we strive for 99.9% uptime, we do not guarantee uninterrupted access. We reserve the right to modify, update, or discontinue specific features to improve the Service or respond to technical shifts.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Ralio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Ralio and its affiliates shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising from your use of, or inability to use, the Service. Our total liability for any claim shall not exceed the amount you paid to Ralio in the past 12 months.
11. Termination
You may delete your account and stop using the Service at any time. We may terminate your access immediately if you materially breach these Terms. Upon termination, your right to use the Service ceases immediately.
12. Governing Law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification. Continued use of the Service after changes become effective constitutes your acceptance of the new Terms.
